Entity Formation
Selecting the appropriate business entity is the first of many steps when attempting to either form a new business or change the structure of a currently operating business enterprise. The choice of an entity must be made through careful weighing and balancing of all the numerous interrelated tax and nontax factors involved in the formation and conduct of a business venture. It cannot be overemphasized that this choice must be made on a case-by-case basis and must be tailored to the specific tax, legal, and financial objectives and expectations of the principals involved in the venture. The choice of entity has important tax consequences and establishes the rights, preferences, privileges, restrictions, and liabilities of the principals or promoters.

Both short-term and long-term objectives must be determined. Even more importantly, the choice of the proper business entity is not merely a decision to be made at the inception of a venture. It is an ongoing decision that requires review and reconsideration.

Employer Protection Services
In today’s litigious society, common sense risk management is cost effective. The Employer Protection Servicetm provides Business Owners and Managers with cost-effective internal procedures and proactive management policies that prevent today’s most dangerous lawsuits; Sexual Harassment and Wrongful Termination. The program includes intensive training and comprehensive materials.
Posting and Recordkeeping Requirements. The posting and recordkeeping requirements imposed on California employers by Federal and State law are scattered throughout numerous statutes. Nonetheless, compliance with these burdensome requirements is essential. Violations can result in civil and criminal penalties, adverse findings in litigation and administrative proceedings, and other serious consequences.
Recruitment and Hiring. Finding good employees may be a difficult task, and one that can easily create liability if done incorrectly. The recruiting and hiring of employees is very critical and plays a major role in the success of the business. Its very important and crucial that this stage be handled in a way that complies not only with the laws of California, but also protects the employer in the event the employer is sued.
Sexual Harassment. Both California and Federal law impose an affirmative legal duty on employers to take “reasonable steps” to prevent harassment, to conduct an immediate and discrete investigation into charges of harassment, and to take timely and appropriate corrective action when an employee is being harassed. Without a proactive management policy in place, an employer is vulnerable to frivolous claims of harassment.
Employment Termination. Employment termination lawsuits are typically only asserted against the unwary business owner. Virtually all risk of Wrongful Termination claims can be eliminated with proactive internal measures.
Cal OSHA. The Occupational Safety
and Health Act requires all employers to provide their workers with a safe
working environment. Accidents are the
easiest things in the world and happen very frequently. OSHA can unexpectedly make an inspection. Providing employees and managers with safety
training can result in a successful OSHA inspection.

Protection
In today’s litigious society, common sense risk management is cost effective. Proper planning will help you protect your business and personal assets from exposure to financial and legal threats of liability. Asset Protection is “financial self-defense” in its purest form. It combats the frivolous and harassing lawsuits against our most productive and affluent citizens and companies, the “deep-pocket” defendants who become perennial targets only because they have exposed wealth.
